This document sets forth the terms and conditions (the "Agreement") that govern your use of the services offered by Intracode IT Solutions (the "Company"). By using the services, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, please do not use the services.

The Company provides web development services, which may include designing and developing websites, web applications, e-commerce sites, and other related services. The scope of work, timelines, and deliverables will be specified in a separate agreement between the Company and the client.

The client acknowledges that the Company may receive confidential information in the course of providing the services. The Company agrees to maintain the confidentiality of such information and to use it only for the purpose of performing the services.

The client agrees that all intellectual property rights, including but not limited to copyrights, trademarks, and trade secrets, arising from the services performed by the Company shall belong to the Company. The client shall have a non-exclusive, non-transferable license to use such intellectual property for the purposes set forth in the separate agreement between the Company and the client.

The Company shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to lost profits or loss of business, arising out of or in connection with the services provided by the Company.

Either party may terminate this Agreement at any time upon written notice to the other party. Upon termination, the client shall promptly pay all amounts due to the Company.

This Agreement shall be governed by and construed in accordance with the laws of Republic of the Philippines. Any disputes arising out of or in connection with this Agreement shall be resolved in accordance with the dispute resolution procedures set forth in the separate agreement between the Company and the client.

This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings and agreements, whether written or oral, between the parties with respect to the subject matter of this Agreement.
